These Terms of Service (“Terms”) govern your access to and use of our website https://smartcontractorsystems.io, our AI-powered receptionist and chatbot services, website widgets, and related software (collectively, the “Services”).

1. Eligibility
Our Services are available only to businesses.
By using our Services, you represent that you are authorized to act on behalf of your business.
2. Services Provided
We provide AI-powered receptionists, chatbots, and website widgets designed for construction companies and related businesses.
3. Payment Terms
Services are offered on a subscription basis (monthly billing) and may include one-time fees.
A free trial may be offered at our discretion.
No refunds are provided for fees already paid.
Payments must be made on time. Failure to pay may result in suspension or termination of your account.
4. User Responsibilities
By using our Services, you agree to:
Use the Services lawfully and in compliance with applicable laws and regulations.
Not misuse or attempt to interfere with our Services, AI models, or third-party systems.
Ensure that any content or data you provide does not infringe on third-party rights.
5. Company Rights
Intellectual Property – All rights, title, and interest in and to the Services, including software, AI models, designs, branding, and related intellectual property, remain the sole property of Smart Contractor Systems. Clients retain ownership of their own data and content, and are granted a license to use AI-generated outputs solely for their lawful business purposes.
Service Modifications – We reserve the right to update, enhance, or discontinue any part of the Services at any time, with or without notice.
Account Suspension & Termination – We may suspend or terminate client access to the Services if fees are unpaid, if the Services are misused, or if activities violate these Terms or applicable law.
Refusal of Service – We reserve the right, at our sole discretion, to refuse service to any client or business where continued engagement would be inappropriate, unlawful, or damaging to our reputation.
Use of Data for Improvement – We may collect and use anonymized or aggregated data derived from client usage to improve the performance, accuracy, and functionality of our AI systems. This does not include disclosure of client-identifiable information without consent.
6. Intellectual Property
Our IP: Smart Contractor Systems retains all ownership rights in its software, AI models, branding, and proprietary materials.
Client IP: You retain ownership of your data, content, and business information provided through the Services.
AI Outputs: You are granted full rights to use AI-generated outputs for your business purposes. However, such outputs are provided “as is” without warranties, and may not be resold, republished, or redistributed in ways that violate these Terms or applicable law.
7. Disclaimers & Limitations of Liability
The Services provided by Smart Contractor Systems (including AI chatbots, voice receptionists, and related tools) are offered on an “as-is” and “as-available” basis, without any warranties of any kind, whether express or implied.
While we strive to deliver high-quality AI outputs, we do not guarantee the accuracy, reliability, timeliness, or suitability of any information or content generated by the Services.
AI-generated outputs may contain errors, omissions, or inaccuracies. Clients are solely responsible for reviewing, verifying, and applying any AI-generated content before relying on it for business, operational, or decision-making purposes.
The Services do not constitute legal, financial, medical, or professional advice of any kind, and Smart Contractor Systems disclaims all liability arising from reliance on AI-generated outputs as such.
To the fullest extent permitted by law:
Smart Contractor Systems will not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost opportunities, business interruption, or data loss.
Our maximum aggregate liability, for any claim arising out of or related to the Services, shall not exceed the total fees paid by the client to Smart Contractor Systems in the twelve (12) months preceding the claim.
8. Termination
By You: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle.
By Us: We may suspend or terminate your account at any time, including for non-payment, violation of these Terms, or at our sole discretion.
9. Governing Law & Dispute Resolution
These Terms are governed by the laws of Quebec, Canada. Any disputes will be subject to the courts of Quebec, unless another process (such as arbitration) is mutually agreed upon.
10. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on our website with a revised “Last Updated” date. Continued use of the Services after updates means you accept the revised Terms.
